Welcome to the LumenSoul candle website (the “Site”). These Terms of Service constitute a legally binding agreement between you and Lumen Soul LLC (“Company,” “we,” “our,” or “us”). This Agreement governs your access to and use of the Site, as well as any products or services provided through the Site. Please read this Agreement carefully, including the mandatory arbitration provision below, before using the Site or making a purchase.

LIMITATION OF PRODUCT LIABILITY

By purchasing raw materials from this Site, you acknowledge that you are solely responsible for testing all materials prior to blending, repackaging, or manufacturing any finished product. Lumen Soul LLC’s liability is limited strictly to the purchase price of the product obtained from the Site and does not extend to any finished product created using those materials. Any claims, damages, complaints, or liabilities associated with products manufactured or repackaged by you using materials purchased from this Site are your sole responsibility as the manufacturer or repackager. You agree that all appropriate testing must be conducted prior to production or resale.

SHIP TIMES MAY VARY

By purchasing products from this Site, you acknowledge that any quoted shipping or processing times are estimates only. While Lumen Soul LLC will make reasonable efforts to ship orders promptly, circumstances beyond our control may result in delays. Lumen Soul LLC shall not be held liable for any shipping or processing delays.

PROP 65 CANCER AND REPRODUCTIVE HEALTH WARNING

California’s Safe Drinking Water and Toxic Enforcement Act requires businesses operating in California to provide warnings about potential exposure to chemicals known by the State of California to cause cancer, birth defects, or reproductive harm. Certain naturally occurring chemical components may be present in raw ingredients sold on this Site, including fragrance oils made with essential oils.

By completing a purchase and checking the box confirming that you accept the Terms and Conditions, Refund, Return and Shipping policies, and Legal and Privacy Policy, you agree to be bound by this Agreement, including the arbitration provision contained herein. Your use of any services provided through the Site, including but not limited to customer reviews, also constitutes acceptance of all applicable rules, policies, and guidelines associated with those services. We reserve the right to modify the Site and this Agreement at any time, with such changes applying to future orders.

USE OF SITE

By using this Site, you represent and warrant that you are at least eighteen (18) years of age or accessing the Site under the supervision of a parent or legal guardian. Subject to the terms of this Agreement, Lumen Soul LLC grants you a limited, revocable, non-transferable, and non-exclusive license to access and use the Site through a standard internet browser solely for the purpose of purchasing products offered on the Site. Any commercial use or use on behalf of a third party is prohibited unless expressly authorized in writing. Any violation of this Agreement may result in immediate termination of this license without notice.

Except as permitted above, you may not reproduce, distribute, display, sell, lease, transmit, translate, modify, reverse engineer, disassemble, decompile, or otherwise exploit the Site or any portion of its content without our prior written consent. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if customer conduct violates applicable laws or is deemed harmful to our business interests.

Users may not upload, distribute, or publish through the Site any content that infringes intellectual property rights, violates applicable law, is defamatory, obscene, threatening, or otherwise unlawful. Users may also not introduce malicious code including viruses, worms, Trojan horses, or other harmful software.

Information provided on this Site is for informational purposes only. You are solely responsible for consulting a qualified medical professional regarding any health-related matters. Opinions and submissions posted on the Site reflect the views of the individual contributor and do not necessarily reflect the views of Lumen Soul LLC. Product descriptions and representations are provided by vendors and are not independently guaranteed by us.

We may assign account credentials such as passwords to allow access to certain areas of the Site. Any activity conducted through your account credentials will be considered authorized by you. You are solely responsible for maintaining the confidentiality and security of your login information and for all activities conducted through your account. You must notify us immediately of any unauthorized access or security breach.

FLAMMABILITY / COMBUSTIBILITY WARNING

Clothing or materials stained with oils or ingredients purchased from this Site may be flammable, and washing may not remove all residues. The U.S. Consumer Product Safety Commission recommends washing saturated materials more than once and allowing them to air dry rather than placing them in a dryer to reduce the risk of spontaneous combustion. Lumen Soul LLC is not responsible for fires or damages resulting from the use of products purchased from this Site.

REVIEWS AND COMMENTS

Any content submitted to the Site, including reviews, comments, suggestions, ideas, or other materials (“Submissions”), shall be considered non-confidential and non-proprietary. By submitting content, you grant Lumen Soul LLC a perpetual, worldwide, royalty-free, irrevocable, and transferable right to use, reproduce, distribute, publish, adapt, translate, and otherwise utilize such Submissions in any format or medium. All Submissions automatically become the sole property of Lumen Soul LLC and will not be returned.

By posting reviews or comments, you also grant us the right to use the name associated with the submission. You represent that you own or control all rights to the content you submit and that such content does not violate the rights of any third party. You agree not to submit misleading information, impersonate others, or use false contact details. Lumen Soul LLC reserves the right, but not the obligation, to remove or edit Submissions at our discretion.

INTELLECTUAL PROPERTY

All content on this Site, including text, graphics, images, icons, audio clips, and software (“Content”), is the exclusive property of Lumen Soul LLC or its licensors and is protected by United States and international copyright laws. The organization and compilation of all content on this Site are also the exclusive property of Lumen Soul LLC.

All trademarks, service marks, and trade names used on this Site are the property of Lumen Soul LLC. Unauthorized use of any trademarks or service marks, including in meta tags or promotional materials, is strictly prohibited without our express written permission.

TERMINATION AND EFFECT OF TERMINATION

In addition to any other available legal remedies, Lumen Soul LLC reserves the right to terminate this Agreement or revoke your access to the Site at any time without prior notice. Upon termination, you must immediately cease all use of the Site. We may also disable any associated account credentials. Termination does not affect any obligations or rights that arose prior to the termination date.

INTERNATIONAL ACCESS

This Site may be accessed from locations outside the United States. Certain products or services referenced on the Site may not be available in all jurisdictions. If you access the Site from outside the United States, you are responsible for compliance with all applicable local laws and regulations.

TYPOGRAPHICAL ERRORS

In the event that a product is listed at an incorrect price or contains inaccurate information due to typographical errors or errors from suppliers, Lumen Soul LLC reserves the right to refuse or cancel any orders placed for such products. This right applies whether or not the order has been confirmed or payment has been processed. If payment has already been charged, a refund will be issued to the original payment method.

COPYRIGHT COMPLAINTS

If you believe that your copyrighted work has been used on the Site in a manner that constitutes infringement, please contact us so that we may investigate the matter.

APPLICABLE LAW

This Site is operated and controlled by Lumen Soul LLC from the State of California, United States. All claims or disputes arising out of the use of the Site or this Agreement shall be governed by the laws of the State of California without regard to conflict-of-law principles.

MANDATORY ARBITRATION

Please read this section carefully as it affects your legal rights. Except as otherwise provided, any dispute, claim, or controversy arising out of or relating to this Agreement, the Site, or any purchase made through the Site shall be resolved through binding individual arbitration rather than in court. By agreeing to these Terms, both you and Lumen Soul LLC waive the right to a trial by jury and the right to participate in class actions or other representative proceedings.

Arbitration shall be conducted in accordance with the rules of either the American Arbitration Association (AAA) or JAMS, as selected by the party initiating arbitration. The arbitrator shall apply applicable California law and the Federal Arbitration Act where relevant. The arbitrator may award the same remedies that would be available in a court of law for individual claims.

The arbitration decision shall be final and binding, subject only to limited appeal rights provided under the Federal Arbitration Act.

CLASS ACTION WAIVER

If arbitration is elected, both parties agree that claims will be resolved on an individual basis only. Neither party may participate in or pursue class actions, representative proceedings, or consolidated claims.

LIMITATION OF CLAIMS

To the extent permitted by law, any claim arising from the use of the Site or this Agreement must be filed within one (1) year after the claim arises, otherwise it will be permanently barred. This limitation applies only to purchases made for resale and does not apply to consumer transactions.

SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
